Shipio - Shopify Shipping Integration

1. Acceptance of Terms

By installing, accessing, or using Shipio ("the App", "our Service"), you ("User", "you", "Merchant") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

These Terms constitute a legally binding agreement between you and DOT (dotteam.md), the developer and operator of Shipio.

We reserve the right to modify these Terms at any time. Continued use of the App after any changes constitutes acceptance of the new Terms.

2. Description of Service

Shipio is a Shopify application that provides:

• AWB Generation - Create shipping labels through FAN Courier and Parflex courier services
• Shipping Rate Calculation - Automatic calculation of delivery costs
• Order Tracking - Real-time tracking of shipments
• Courier Integration - Direct API integration with FAN Courier (Moldova) and Parflex (Romania)

The App operates as a third-party application on the Shopify platform and requires a valid Shopify store to function.

3. Eligibility

To use Shipio, you must:

• Be at least 18 years old or the legal age of majority in your jurisdiction
• Have a valid and active Shopify store
• Have the legal authority to bind yourself or your organization to these Terms
• Have valid accounts with supported courier services (FAN Courier and/or Parflex)
• Operate your business in compliance with all applicable laws

4. Account and Access

4.1 Shopify Authorization

By installing Shipio, you authorize us to access your Shopify store data as described in our Privacy Policy. This includes order information, customer shipping details, and product data necessary for the App to function.

4.2 Courier Credentials

You are responsible for:

• Providing accurate courier API credentials
• Maintaining the confidentiality of your credentials
• Ensuring your courier accounts are in good standing
• Any actions taken using your credentials through our App

4.3 Account Security

You must immediately notify us of any unauthorized access or security breach related to your use of Shipio.

5. Acceptable Use

5.1 Permitted Use

You may use Shipio only for:

• Legitimate business purposes related to your Shopify store
• Generating shipping labels for actual orders
• Calculating shipping rates for real products
• Tracking legitimate shipments

5.2 Prohibited Use

You may NOT use Shipio to:

• ❌ Engage in fraudulent or illegal activities
• ❌ Ship prohibited, illegal, or dangerous goods
• ❌ Circumvent courier service terms or limitations
• ❌ Interfere with or disrupt the App's functionality
• ❌ Attempt to reverse engineer, decompile, or hack the App
• ❌ Use automated systems to abuse the service
• ❌ Resell or sublicense access to the App
• ❌ Violate Shopify's Terms of Service

6. Fees and Payment

6.1 App Pricing

6.2 Courier Fees

Shipping costs and courier service fees are charged directly by FAN Courier and Parflex. Shipio does not collect or process courier payments. You are responsible for maintaining your accounts with these services and paying all applicable fees directly to them.

6.3 Billing

Future premium features will be billed through Shopify's billing system. By subscribing to premium features, you authorize Shopify to charge your payment method on file.

7. Intellectual Property

7.1 Our Rights

Shipio, including its code, design, features, and documentation, is the property of DOT and is protected by intellectual property laws. You receive only a limited, non-exclusive, non-transferable license to use the App.

7.2 Your Rights

You retain all rights to your business data, including order information, customer data, and product details. We do not claim ownership of your data.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about Shipio may be used by us without obligation to compensate you.

8. Third-Party Services

Shipio integrates with third-party services:

Your use of these services is subject to their respective terms. We are not responsible for their actions, availability, or terms changes.

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency repairs or updates
• Third-party service outages (Shopify, couriers, hosting providers)
• Events beyond our reasonable control

9.2 Modifications

We reserve the right to modify, update, or discontinue features of the App at any time. Major changes will be communicated in advance.

10. Limitation of Liability

10.1 Disclaimer

SHIPIO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy or completeness of shipping rates or information
• Uninterrupted or error-free operation
• Compatibility with all systems or configurations

10.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF SHIPIO SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10.3 Exclusions

WE ARE NOT LIABLE FOR:

• ❌ Lost, damaged, or delayed shipments
• ❌ Incorrect shipping rates quoted by courier services
• ❌ Courier service failures or issues
• ❌ Loss of business, revenue, or profits
• ❌ Data loss or corruption
• ❌ Indirect, incidental, or consequential damages
• ❌ Third-party service failures

11. Indemnification

You agree to indemnify, defend, and hold harmless DOT, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of Shipio
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws
• Content you provide through the App

12. Termination

12.1 By You

You may terminate your use of Shipio at any time by uninstalling the App from your Shopify store. No refunds will be provided for unused portions of any paid subscription period.

12.2 By Us

We may suspend or terminate your access to Shipio immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You fail to pay applicable fees
• Required by law or court order
• Shopify terminates your store or suspends your account

12.3 Effect of Termination

Upon termination:

• Your access to the App will be revoked
• Your configuration data will be deleted within 30 days
• Historical data may be retained as required by law
• Sections 7, 10, 11, and 14 survive termination

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at info@shipio.today to attempt to resolve the issue informally. We will work in good faith to address your concerns within 30 days.

13.2 Governing Law

These Terms are governed by the laws of the Republic of Moldova, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts in Chișinău, Republic of Moldova.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DOT regarding Shipio.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to any successor or affiliate.

14.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
